Plan of proceeds usage

All proceeds from PMHMETD I after deducting emission costs will be used for:

1. In case all shareholders exercise their Preemptive Rights (except PT Esta Dana Ventura(EDV) does not exercise all of their Rights and transfer their Rights to EUC), the company will purchase 159,950 (nine fifty nine thousand nine hundred fifty) shares of PT Esta Prima Investama (EPI) with a nominal value of Rp 1,000,000 (one million Rupiah) or equivalent to 99.97% (ninety nine point nine seven percent) with the value of the purchase transaction of PT Estra Prima Investama shares of Rp 159,950,000,000 (one hundred fifty nine billion nine hundred and fifty million Rupiah). EPI's share purchase transaction value of Rp124,383,739,716 (one hundred twenty-four billion three hundred eighty-three million seven hundred thirty-nine thousand seven hundred and sixteen Rupiah) will be paid through capital deposit in other forms other than cash, and about Rp 35,566,260,284 (thirty five billion five hundred sixty six million two hundred sixty thousand two hundred eighty four Rupiah) will be paid in cash.
2. In case all public shareholders do not exercise the Preemptive Rights except EUC, which will exercise all the Preemptive Rights it already owns, and the Rights that have been transferred by EDV and purchase the remaining shares that are not exercised with a maximum of 334,923,218 shares as a Standby Buyer, the company will purchase 159,950 (nine fifty nine thousand nine hundred fifty) shares of PT Esta Prima Investama with a nominal value of Rp. 1,000,000 (one million Rupiah) or equivalent to 99.97% (ninety nine point nine seven per cent) with a value of share purchase transaction of PT Estra Prima Investama amounting to Rp159,950,000,000 (one hundred and fifty-nine billion nine hundred and fifty million Rupiah). EPI share purchase transaction value of Rp157,876,061,516 (one hundred and fifty-seven billion eight hundred seventy-six million sixty-one thousand five hundred and sixteen Rupiah) will be paid through capital deposit in other forms than cash, and the amount of Rp 2,073,938,484 (two billion seventy four million nine hundred thirty eight thousand four hundred eighty four Rupiah) will be paid in cash.
