Agenda

1. Changes in the Board of Commissioners composition.
2. Approval of the Company's plan to increase capital with Pre-emptive Rights in accordance with OJK Regulation No.32 / POJK.04 / 2015 regarding the Capital increase of Public Companies with Pre-emptive Rights ("Limited Public Offering"), including:
3. Approval to the amendment of the Company Articles of Association related to the increase in authorised capital, issued and paid-up capital with the Limited Public Offering; and
4. Delegation of authority to Board of Directors with the rights of substitution to conduct all necessary actions related to the Limited Public Offering, including but not limited to making or request all deeds, letters and documents required, present before authorised parties/officials including notaries, submit applications to authorised parties/officials to obtain approval or report the matter to the authorised party/officials and register it in the list of companies as referred in the applicable legislation.
5. Approval of the Company's plan to pledge part or all of the Company's assets, which is more than 50% (fifty per cent) of the Company's net assets in 1 or more transactions, or provide a corporate guarantee, either independent or related to each other, in order to obtain loans, credit and/or other facilities from one or more banks, financial institutions and/or other third parties, and delegation of authority with the rights of substitution to the Company's Directors to pledge the Company's net assets, including but not limited to make or request of all the deeds, letters and documents needed, present before the authorised party/officials, including a notary, submit the application to the authorised party/official to obtain approval or report the matter to the authorised party/officials as referred to the applicable laws and regulations.
