OKAS’s subsidiary to divert its assets worth IDR 57.37 billion to MNKT

JAKARTA – PT Multi Nitrotama Kimia (MNK), a subsidiary of PT Ancora Indonesia Resources Tbk (OKAS), plans to transfer its blasting service assets worth IDR 57.37 billion to PT Multi Nasional Kemitraan (MNKT). This corporate action would await approval in the Extraordinary General Shareholders Meeting scheduled for August 31, 2021.

In the information disclosure, quoted Monday (26/7), this asset transfer is an affiliate transaction as MNKT is a subsidiary of MNK, which owns 99% of its shares. It aims to raise MNKT’s capital, acquire more advanced partners in blasting services, gain more accessible financing, and facilitate business growth.

As of December 2020, MNKT reported its authorised capital as well as issued and paid-up capital to reach IDR 100 million each. PT MNK owns IDR 99 million, while Bayu Andhikajaya owns the remaining IDR 1 million. Meanwhile, MNK’s authorised capital is reported at IDR 33 billion, issued and paid-up capital IDR 28.29 billion, and stock in portfolio IDR 4.7 billion. Its stockholders consist of OKAS 50%, PT Pupuk Kijang 25%, and Yayasan Dana Abadi Karya Bakti 25%.

OKAS, the majority stockholder of MNK, owns an authorised capital of IDR 700 billion, issued and paid-up capital of IDR 176.59 billion, and stock in portfolio of IDR 523.4 billion. Its stock is divided among PT Multi Berkat Energi 52%, Banque Pictet and Cie SA Burgundy Assets Corp 11.04%, Romo Nitiyudo Wachjo 15.72%, UOB Kay Hian Pte Ltd 5.66%, and the public 15.58%. (LK/ZH)
