Plan of proceeds usage

• About 23.81% (twenty three point eight one per cent) will be used by the company to acquire shares to be issued by PT Bank Victoria Tbk. (“BVIC”) to increase capital by issuing BVIC Pre-emptive Rights to meet the bank's minimum core capital requirements at a minimum of Rp. 3,000,000,000,000,000 (three trillion Rupiah) as required by POJK No. 12/POJK.03/2020 regarding a Consolidation of a Commercial Bank;
• About 15.67% (fifteen point six seven per cent) will be used by the company to take over 288,000,000 (two hundred and eighty eight million) shares of PT Bank Victoria Syariah (“BVIS”) owned by BVIC, in which 80% (eighty percent) of the total issued and fully paid shares in BVIS; and
• About 60.52% (sixty point five two percent) will be used by the company to acquire shares to be issued by BVIC to increase BVIC capital to fulfill the bank's minimum core capital requirement at a minimum of Rp.1,000,000,000,- (one trillion Rupiah) as required by POJK No. 12/POJK.03/2020 regarding the Consolidation of a Commercial Bank.
