Gov't transfers 52.09% of TLKM to Danantara's operational holding

JAKARTA – PT Telkom Indonesia (Persero) Tbk (TLKM) has announced the transfer of 51.6 billion Series B shares owned by the state, equivalent to 52.09%, to PT Biro Klasifikasi Indonesia (BKI) on March 22, 2025.
According to an information disclosure on the Indonesia Stock Exchange (IDX), BKI is an Operational Holding Company wholly owned by the state through the Ministry of State-Owned Enterprises (SOEs) and BPI Danantara.
Octavius Oky Prakarsa, VP Investor Relations, stated that this transfer is part of a capital injection policy to establish the operational holding of SOEs, as regulated by Government Regulation No. 15 of 2025.
Despite this transfer, the state remains the controlling shareholder or ultimate beneficial owner (UBO) of TLKM.
“Through direct ownership of 1 Series A Dwiwarna share with special rights and indirect ownership of 51.6 billion Series B shares owned by BKI through Danantara,” said Octavius in an official statement on Thursday (24/3).
The government has officially transferred series B shares of seven state-owned enterprises (SOEs) to PT Biro Klasifikasi Indonesia (BKI) under an inbreng scheme as part of the establishment of Danantara operational holding.
This share transfer was carried out under Government Regulation (PP) No. 15 of 2025, dated 21 March 2025, concerning the Increase of State Capital Participation of the Republic of Indonesia in the Share Capital of PT Biro Klasifikasi Indonesia (Persero) for the Establishment of an Operational Holding (PP 15/2025).
The operational holding referred to is the holding established by the Investment Management Agency of Daya Anagata Nusantara (BPI Danantara), as stipulated in PP No. 10/2025.
According to the disclosure of information on the Indonesia Stock Exchange (IDX) on Monday (24/3), the share transfer involved PT Bank Mandiri (Persero) Tbk (BMRI), PT Bank Rakyat Indonesia (Persero) Tbk (BBRI), PT Bank Negara Indonesia (Persero) Tbk (BBNI), PT Bank Tabungan Negara (Persero) Tbk (BBTN), PT Semen Indonesia (Persero) Tbk (SMGR), PT Telkom Indonesia (Persero) Tbk (TLKM), and PT Jasa Marga (Persero) Tbk (JSMR).
