1. Approval of the company's annual report of the financial year 2021, reviewed by Board of Commissioners; ratification of the consolidated financial statements of the financial year 2021, audited by the public accounting firm Tanubrata, Sutanto, Fahmi, Bambang & Rekan ( Member of the Firm BDO International) and signed on February 23, 2022, published and re-signed on March 14, 2022; ratification of the Balance Sheet and Income statement of the financial year 2021; and to release and discharge of all responsibilities (volledig acquit et de charge) to all Board members for the management and supervision carried out in the financial year 2021.
2. Approval on the determination on the use of the company net profit of the financial year 2021.
3. Approval on the election of a Public Accountant Firm to audit the company consolidated Financial Report of the financial year 2022.
4. Determination of salaries and allowances, as well as other facilities for Board of Directors and Board of Commissioners in 2022.
5. Submission of reports on the realization of proceeds usage report from the Public Offering for the issuance of Shelf-Registered Bonds I Merdeka Copper Gold Phase II of 2020, Shelf-Registered Bonds II Merdeka Copper Gold Phase I and Phase II of 2021, Shelf-Registered Bonds III Merdeka Copper Gold Phase I and Phase II of 2022.
6. Changes in the Board of Commissioners composition.

1. Approval of the company's plan to increase capital without pre-emptive rights (“PMTHMETD”).
2. Approval of the plan to buy back the company's shares in accordance with OJK Regulation No. 30/POJK.04/2017 regarding the shares repurchase issued by a Public Company.
