1. Approval of the share divestment transaction plan carried out by the company's subsidiary directly, namely PT Anabatic Digital Raya for the sale of 99.99% shares in PT Mahacitta Teknologi (“MCT”); 99.99% shares in PT Aristi Jasadata (“AJD”); 99.99% shares in PT Svadaia Humana Jasa (“SHJ”); and PT Karyaputra Suryagemilang for the sale of 60% shares in PT Jaga Nusantara Satu (“JN1”); 80% share in PT Pacifica Facility Management (“PMF”); 99.98% shares in PT Advika Media Kreasi (“AMK”); 99% shares in PT Bisnis Proses Indonesia (“BPI”); 70% of shares in PT Solusi Karya Insani (“SKI”), which is carried out with an affiliated party of the company and contains a conflict of interest as referred in the Financial Services Authority Regulation No. 42/POJK.04/2020 regarding affiliated transactions and conflict of interest transactions.
2. Reaffirmation of the share sale transaction by PT Emporia Digital Raya based on Deed of Deposit No. 7 dated July 11, 2022 from Myra Yuwono, S.H., Notary in Jakarta for the sale of 51% shares in PT Aristi Jasa Pandu ("AJP") with parties affiliated with the company and contains a conflict of interest as referred to in Financial Services Authority Regulation No. 42/POJK.04/2020 regarding affiliated transactions and transactions with conflicts of interest.
