TOBA to restructure its subsidiaries
JAKARTA – Shareholders of PT TBS Energi Utama Tbk (TOBA) agreed upon the plan to restructure its subsidiaries, PT Toba Bara Energi (TBE), PT Gorontalo Listrik Perdana (GLP), dan PT Minahasa Cahaya Lestari (MCL).
In the minutes of General Meeting of Independent Shareholders (GMIS) quoted Tuesday (19/11), TOBA is said to divest all shares and transfer all payables in GLP, as well as divesting all shares of TBE to MCL.
TBE, a subsidiary of TOBA with 100% ownership, recorded total assets of USD 337.59 million as of September 2024. Meanwhile, 80% of GLP’s shares are owned by TOBA, with total assets of USD 288.27 million, and MCL is 90% owned by TOBA through Toba Energi with total assets of USD 274.94 million.
This plan was approved by 56.495% of independent shareholders, or 58.831% of GMIS’s present shareholders at that time, representing 6.89 billion shares or 84.474% of total valid votes issued by the company. (LK/ZH)
