JAKARTA – PT Semen Indonesia (Persero) Tbk (SMGR) officially takes PT Semen Baturaja Tbk (SMBR) under its wings, acquiring 75.51% of its series B shares.
In the information disclosure quoted Monday (26/9), Doddy Irawan, VP Corporate Secretary of Semen Baturaja, confirmed that the government has reassigned its series B shares in the company to be placed as an additional state capital investment in SMGR. “This shares transfer also changes the company’s status to non-state company,” he added.
The legal umbrella that is referenced for this status change is the Government Regulation (PP) No.33/2022 concerning The Addition of State Capital Investment to the Stock Capital of PT Semen Indonesia Tbk.
The number of series B shares owned by the government in SMBR that have been transferred to SMGR amounts to 7,499,999,999 units. The government still controls SMBR through its ownership of series A shares as stated in the articles of association of the company.
Until August 2022, SMBR’s shares reportedly reached 9,932,534,336 units, 8.641% of which belonged to IFG, followed by the government of 75.509% and public investors of 15.85%. (LK/ZH)
