BBN becomes KETR's new controller
JAKARTA - PT Bahtera Bintang Nusantara (BBN) will become the new indirect controller of PT Ketrosden Triasmitra Tbk (KETR) after the mandatory tender of 300,979,000 shares.
In the disclosure of information quoted on Tuesday (27/2), KETR will conduct a mandatory tender for a month starting Wednesday (28/2) to (28/3). BBN, the new controller candidate, will invest in shares at an offering price of IDR 240 per share. When calculated, the transaction value reaches IDR 72.23 billion.
BBN subscribed for new Series B shares in PT Fajar Sejahtera Mandiri Nusantara (FSMN) so that it owns 55,141 Series B shares or 88.7% of FSMN's issued and paid-up capital. FMSN is the holder of 56.53% of the issued and paid-up capital of KETR. Post-transaction, BBN will indirectly own more than 50% of KETR's issued and paid-up capital.
As of January 2024, KETR shares were recorded at 2.84 billion with a controlling ownership structure of 26.93% and non-controlling 73.07%. The final beneficiary of the shareholders is Joy Wahjudi. (LK/LM)
