META to acquire 35% of Jasamarga Transjawa
JAKARTA - PT Nusantara Infrastruktur Tbk (META) is officially acquiring 35% of PT Jasamarga Transjawa Tol (JTT), the owner of Transjawa Toll Road concession of 676 kilometres (km). The document regarding said transaction had been signed last Friday (28/6).
In the information disclosure quoted Monday (1/7), Dahlia Evawani, Corporate Secretary of META, mentioned that said transaction is carried out by taking over shares of PT Jasa Marga (Persero) Tbk (JSMR), acquisition of another portion owned by PT Koperasi Konsumen Karyawan Jalin Margasejahtera (KKJM), as well as the issuance of new shares of JTT for its investor. “Investors and JSMR have signed a JTT shareholder agreement regarding the governance and business activities of JTT, which will take effect once the requirements have been met,” she said.
The number of JSMR’s shares bought by META is 6.2 billion shares, followed by KKJM’s shares of 205.45 million, and 1.29 billion shares issued for PT Metro Pacific Tollways Indonesia (MPTIS).
The investors involved in this transaction include PT Margautama Nusantara (MUN), META’s subsidiary with 43.39% ownership; MPTIS, controller of MUN with 61.13% ownership, and Warrington Investment Pte Ltd (WIPL), an affiliate of Government of Singapore Investment Corporation Ventures (GIC) that secures 33% of MUN.
As is known, Trans Jawa Toll Road managed by JTT includes 13 routes, namely Jakarta-Cikampek, Jakarta-Cikampek II Elevated, Palimanan-Kanci, Batang-Semarang, Semarang Seksi A, B,C, Semarang-Solo, Solo-Ngawi, Ngawi-Kertosono-Kediri, Surabaya-Mojokerto, Surabaya-Gempol, Gempol-Pasuruan, Gempol-Pandaan, and Pandaan-Malang.
