Director sells all NINE shares, what's behind it?

JAKARTA – PT Techno9 Indonesia Tbk (NINE) that Merry Kandou, Director of NINE, has officially divested all of her shares in the company as of Tuesday (25/2).
The divestment transaction involved the sale of 57.6 million shares at IDR 19 per share.
Nuzwan Gufron, President Director of NINE, explained on Thursday (27/2) that the sale is related to the fulfilment of terms and conditions within the loan agreement between Advance Opportunities Fund (AOF) and the company.
"The sale was conducted in accordance with the provisions of the loan agreement previously announced to the public. The shares sold represent Merry Kandou’s direct ownership," Nuzwan said.
Following this transaction, Merry Kandou no longer holds any shares (0%) in NINE, down from her previous 2.67% stake.
Meanwhile, on Thursday (27/2), NINE's shares remained stable at IDR 246 per share.
At the same time, the market is closely watching the planned acquisition of PT Techno9 Indonesia Tbk by Poh Group, which intends to acquire a 70% stake at IDR 19 per share, with the total value of the transaction estimated at IDR 28 billion.
The shares to be acquired include those owned by Noprian (12%), Heddy Kandou (51.95%), and several other minority shareholders. (EF/LK/ZH)
