JAKARTA – The Ministry of State-Owned Enterprises (SOEs) transferred 51.20% of its shares in PT Semen Indonesia (Persero) Tbk (SMGR) to PT Biro Klasifikasi Indonesia (Persero) (BKI).

Vita Mahreyni, Corporate Secretary of SMGR, stated that the Ministry transferred 3.45 billion series B shares to BKI last week (22/3). "The transfer of series B shares does not alter or transfer the government's control over the company," she said, citing the disclosure on Monday (24/3).

The transfer is based on Government Regulation (PP) 15/2025, whereby the Ministry of SOEs, as the holder of series A shares, remains the majority owner of SMGR shares.

“The share transfer transaction has no material impact on the company’s operations, legal standing, or financial condition,” she added.

SMGR reported 6.75 billion shares as of February 28, 2025, with the shareholder structure consisting of the Controlling Shareholder (Ministry of SOEs) holding 51.2% and Non-controlling Shareholders holding 48.8%. There are 42,499 shareholders.

The transfer of SMGR shares to BKI is part of establishing the Danantara Investment Management Holding under BPI Danantara. The formation of Danantara refers to PP No. 10/2025.

Seven SOEs are transferring their shares to Danantara, including PT Bank Mandiri (Persero) Tbk (BMRI)PT Bank Rakyat Indonesia (Persero) Tbk (BBRI)PT Bank Negara Indonesia (Persero) Tbk (BBNI)PT Bank Tabungan Negara (Persero) Tbk (BBTN), SMGR, PT Telkom Indonesia (Persero) Tbk (TLKM), and PT Jasa Marga (Persero) Tbk (JSMR).

According to the BKI website, the government has initially designated BKI as the sole body to classify Indonesian-flagged commercial vessels.

This assignment was formalised through the decision of the Minister of Sea Transportation on September 26, 1964, regarding the regulations for the mandatory possession of classification certificates for Indonesian-flagged vessels, issued by BKI. (LK/ZH)
