Agenda

  1. Approval of (i) the 2015 Annual Report and ratification of the consolidated financial statements of the Company, and (ii) Board of Commissioners Supervisory Report, for the year ending in December 31st, 2015;
  2. Approval of the use of net profit of the Company for the year ending in December 31st, 2015;
  3. Approval of the appointment of a public accounting firm to audit the financial statements of the Company for the year ending in December 31st, 2016, and authorize the Directors to determine the fees of the appointed public accountant;
  4. Approval of the authorization to the Board of Commissioners regarding the determination of the honorarium and other benefits of members of the Directors and the Board of Commissioners;
  5. Approval of the extension of the authorization to the Board of Commissioners to implement the resolutions of the Extraordinary General Meeting of Shareholders related to the Capital Increase Without Preemptive Rights as stipulated in the Deed of the Extraordinary General Meeting of Shareholders No. 59, dated November 27th, 2014 made before Jose Dima Satria, SH, M.Kn., Notary, in Jakarta, and authorize the Board of Commissioners to declare the EGMS resolutions regarding changes in issued and paid-up capital as a result of the Capital Increase without Pre-emptive Rights in a separate Notary Deed , including notifying/reporting to the relevant authorities, and register and perform all necessary actions in connection with the decision.
  6. Approval of the report on the use of proceeds from the initial public offering of shares of the Company.
  7. Changes in the composition of the Board of Commissioners of the Company.
  8. Approval to transfer and/or pledge more than 50% (fifty percent) of the assets of the Company as collateral on behalf of the Company to obtain new funding from the banks and/or the issuance of securities. Based on the provisions of the Articles of Association of the Company, if the Company wants to divert and/or pledge more than 50% (fifty percent) of the assets of the Company as collateral on behalf of the Company to obtain new funding from the banks and/or the issuance of securities, the Company must obtain approval from the AGMS. Thus, the Company proposed this agenda at the meeting.
