Agenda | AGMS: - Approval and ratification of the Company's Annual Report of the financial year 2015, including the Company's Activity Report, the Board of Commissioners Oversight Report and the Financial Report of the financial year 2015, and to release and discharge of all responsibilities (acquit et de charge) to all Board members for the supervision and management conducted in the financial year 2015.
- Determination on the use of the Company's net profit of the financial year 2015.
- Election of a Public Accountant to audit the Company's financial statements in the financial year 2016, and authorise the Company's Board of Commissioners to determine the honorarium of the Independent Public Accountant and other terms of appointment.
- Determination of salaries and allowances of Board of Directors, and salary or honorarium and benefits of Board of Commissioners.
EGMS: - Approval of the Company's plan to increase capital with Pre-emptive Rights (Limited Public Offering V) in accordance with the Financial Services Authority Regulation No.32/POJK.04/2015 regarding the Capital increase of Public Companies with Pre-emptive Rights (Rights issue), including:
- Approval of the amendments to the Company Articles of Association, related to the increase in issued and paid-up capital of the Company in the Limited Public Offering (PUT) V.
- Granting power and authority to Board of Directors, with the rights of substitution, to conduct all necessary actions related to the capital increase with Pre-emptive Rights, including but not limited to make or request all deeds, and documents required, present before authorised parties/officials including notaries, submit applications to authorised parties/officials to obtain approval or report or notify such matters to authorised parties/officials, in accordance with applicable laws and regulations.
