JAKARTA – PT Sentosa Bersama Mitra (SBM) is set to launch a tender offer for 5.65 billion shares of PT Minna Padi Investama Sekuritas Tbk (PADI) from April 16 to May 15 2025. SBM holds a 5.75% stake in PADI, and the two companies are not affiliated.

Djauhar Maulidi, Director of SBM, stated that the voluntary tender offer is priced at a maximum of IDR 13 per share, amounting to a total of IDR 73.49 billion.

"SBM has sufficient funds to complete the tender offer, as evidenced by the bank statement from PT Bank Mandiri (Persero) Tbk," he said in a disclosure quoted on Monday (10/3).

SBM’s authorised capital is recorded at IDR 200 billion, with issued and fully paid capital at IDR 140 billion, and IDR 60 billion in portfolio shares.

The shareholders of SBM are Hapsoro with 85%, Djauhar Maulidi with 10%, and Medi Avianto with 5%, while the ultimate beneficiary of SBM shares is Hapsoro.

It is worth noting that Hapsoro is the husband of Puan Maharani, Speaker of the Indonesian House of Representatives (DPR) from the PDI-P. Hapsoro also owns several companies listed on the stock exchange.

Meanwhile, PADI’s authorised capital is recorded at IDR 800 billion, with issued and fully paid capital of IDR 23.61 billion, and portfolio shares worth IDR 516.38 billion.

The shareholders of PADI’s issued and fully paid capital consist of SBM with 5.75%, PT Basis Utama Prima with 3.66%, Eveline Listijosuputro with 1.11%, Henry Kurniawan Latief with 0.23%, Djoko Joelianto with 0.10%, and the public with 89.48%. (LK/LM/ZH)
